    • Follow all applicable laws.

    Your Design must not:

    • The Design is entirely your own original work and is not copied from any other source.

    • The Design has not been used, published, or entered into another contest in a way that conflicts with the rights you grant to Sponsor in these rules.

    • The Design does not infringe anyone else’s rights (including copyright, trademark, trade dress, trade secret, privacy, publicity, or moral rights).

    • You have all rights necessary to grant Sponsor the license described below, with no liens or other restrictions.

    • Your participation and your Design fully comply with these rules and all applicable laws.

    You agree to defend, indemnify, and hold harmless Sponsor and its officers, directors, employees, volunteers, and agents from any claims, damages, or costs (including reasonable attorneys’ fees) that arise from a claim that your promises above are untrue or have been broken.

    7. License You Grant to Sponsor

    By submitting a Design, you grant Sponsor the following license:

    Type of license. An irrevocable, perpetual, worldwide, royalty‑free, fully paid‑up, transferable, and sublicensable license to use your Design.

    What Sponsor can do. Sponsor may use, reproduce, adapt, modify, create derivative works from, publish, display, distribute, and otherwise use the Design, in whole or in part, in any media now known or later developed, for any lawful purpose.

    Examples of use include:

    ◦ Printing the Design on tee shirts, apparel, merchandise, and other products of any kind.

    ◦ Using the Design in fundraising, promotional, marketing, and educational materials.

    ◦ Using the Design in any current or future product lines, campaigns, or projects, with no limits on time, geography, or quantity.

    This license:

    • Is irrevocable and applies to all existing and future product lines and merchandise.

    • Does not require Sponsor to use your Design at all.

    • DOES NOT ENTITLE YOU TO ANY MONEY. YOU WILL NOT RECEIVE ANY MONETARY COMPENSATION, ROYALTY, OR OTHER PAYMENT FOR THE USE OF THE DESIGN, EVEN IF YOUR DESIGN IS SELECTED OR USED. THE CONSIDERATION FOR THIS LICENSE IS YOUR OPPORTUNITY TO PARTICIPATE AND THE POTENTIAL RECOGNITION DESCRIBED BELOW.

    8. Judging and Selection

    After the Contest ends:

    • A panel chosen by Sponsor (the “Judges”) will review eligible Designs.

    • Designs may be evaluated on:

    ◦ How well they reflect Hollywood Food Coalition’s mission and values;

    ◦ How suitable they are for printing on apparel and merchandise; and

    ◦ Overall impact.

    • SPONSOR AND THE JUDGES MAY SELECT ONE OR MORE DESIGNS TO USE ON SPONSOR’S MERCHANDISE (“SELECTED DESIGNS”), BUT ARE NOT REQUIRED TO SELECT ANY DESIGN.

    • ALL DECISIONS BY SPONSOR AND THE JUDGES ARE FINAL AND BINDING. SPONSOR MAY CHOOSE WHETHER OR NOT TO PUBLICLY ANNOUNCE SELECTED DESIGNS AND THE NAMES OF THEIR ENTRANTS.

    9. Recognition (No Cash Prizes)

    • There are no cash prizes, and there is no entry fee.

    • BY ENTERING, YOU AGREE THAT THE CHANCE TO PARTICIPATE AND THE POSSIBILITY THAT YOUR DESIGN MAY BE SELECTED AND USED IS FULL AND SUFFICIENT CONSIDERATION FOR THE RIGHTS YOU GRANT.

    If your Design is selected, Sponsor may (but does not have to) offer non‑monetary recognition, such as:

    • Public acknowledgment on its website, social media, or marketing materials.

    • Credit near the Design on some merchandise or promotional materials, where practical.

    • A complimentary item of merchandise featuring your Design.

    Any recognition is at Sponsor’s sole discretion, subject to availability, and not guaranteed as to type, length, or visibility.

    10. Publicity

    By entering, you grant Sponsor and its designees permission to use:

    • Your name;

    • Likeness and image;

    • Biographical information;

    11. Ownership of the Design

    • You keep any copyright you may have in your Design.

    • However, Sponsor’s license and all allowed uses described in Section 7 are perpetual and irrevocable

    • Sponsor does not have to stop using your Design or remove any products or materials that feature it, even if you later ask to withdraw your consent.

    12. Release and Limitation of Liability

    By participating, you agree to release and hold harmless Sponsor and its officers, directors, employees, volunteers, representatives, and agents from any claim or cause of action related to:

    • Your participation in the Contest;

    • Your Design; or

    • Any use of your Design as allowed by these rules.

    To the maximum extent allowed by law, Sponsor will not be liable for any indirect, incidental, consequential, special, or punitive damages, whether based in contract, tort, or otherwise, even if advised of the possibility of such damages.

    13. Privacy

    • Sponsor will use personal information collected from entrants to run the Contest, communicate with entrants, and as otherwise described in these rules.

    • Sponsor may also use your contact information to send news and updates about its programs, events, and fundraising. You may opt out of such communications as allowed by law.

    14. General Conditions

    • Sponsor may cancel, suspend, or change the Contest, or any part of it, if fraud, technical problems, or any other factor harms or interferes with the fairness or proper operation of the Contest.

    • If any part of these rules is found invalid or unenforceable, the rest will still apply to the fullest extent allowed by law.

    15. Governing Law and Where Disputes Are Resolved

    • These rules and any dispute related to the Contest will be governed by the laws of the State of California, without applying conflict‑of‑law rules that would use another jurisdiction’s laws.

    • By entering, you agree that any dispute, claim, or cause of action relating to the Contest or these rules will be brought only in the state or federal courts located in Los Angeles County, California.
